1. All goods offered for sale by ICC Duplication are done so in good faith in the knowledge that they leave their premises in good condition.
2. Goods will be delivered via our agents or by public transport to approved credit accounts or fully paid up invoices only. Delivery dates are approximate and not of contractual effect. ICC Duplication shall not have any liability for loss or damage (including loss of profits and consequential loss) to the customer in respect of any failure to deliver on any particular date. Where delivery is delayed otherwise than due to default by ICC Duplication the customer shall pay all costs and expenses occasioned thereby.
3. Any shortage or damage of delivery must be notified to ICC Duplication or their approved representative within 3 days of delivery. Any items found to be faulty will be exchanged and replaced free of charge.
4. ICC Duplication can accept no responsibility for faulty goods outside a period of 6 months from the date of invoice.
5. ICC Duplication shall be under no liability whatsoever for any delay, loss or damage caused wholly or in part by any act, matter or thing beyond reasonable control.
6. To the extent that this exclusion is permitted by law ICC Duplication shall not be liable in any circumstances whatsoever for any direct or indirect loss or damage to property (including the Master) incurred or suffered by the customer or any other person as a result of negligence or fault or defect in goods or services provided by ICC Duplication and in no circumstances shall the company be liable for any consequential loss or loss of profits suffered as a result of any such fault or defect. Further, ICC Duplication’s liability whether in respect of one claim or the other aggregate claims by the customer shall not exceed the price payable by the customer under the contract (which the customer hereby is a reasonable pre-estimate of his anticipated loss)
7. All prices quoted by ICC Duplication are exclusive of Value Added Tax unless otherwise stated. Any cost or loss caused to ICC Duplication by the customer's neglect or default of lack of instructions shall be paid by the customer in addition to the contract price. The prices at which goods are sold are the respective prices listed in the ICC Duplication price list in force at the date of acceptance of the customer's order, but such prices do not include any charge for handling and delivering goods which may be made by ICC Duplication. ICC Duplication reserves the right to vary any contract price at any time to take account of any increase in the cost price of goods, in the alterations made in specification upon which the contract is based, any costs for waiting time or other expenses incurred by ICC Duplication as a result of matters beyond its control, special deliveries or any other variation in the original order made at request of the customer, and any extra cost born by ICC Duplication made as a result of Government legislation, EEC regulation or effects of the devaluation of fluctuation in the exchange currency rates.
8. ICC Duplication reserves the right to deliver and invoice for +/- 50 units per delivery address on all CD & DVD Replication orders. Orders for Cassette, CD & DVD Duplication, are subject to a +/- 10% order tolerance to a maximum of 100 units.
Our terms of credit trading are net settlement of invoiced items at 30 days from date of invoice unless otherwise communicated by ICC Duplication. All accounts that exceed the stated terms of trading will attract a monthly interest of 2%. Invoices will be dated to the delivery or collection date of the goods.
10. All goods remain the sole property of ICC Duplication until fully paid.
11. When sending us your Production Masters or Artwork Files, please also hold a copy in safekeeping in case they are lost or damaged in transit. Please note it is not our policy to return Production Masters or Artwork Files. If you do want your Production Master or Artwork Files returned, then please mark them ‘FOR RETURN’ with the return address. We will charge £10 for return by Royal Mail Recorded Delivery. We will hold your Production Masters in our Master Storage Area until your order is delivered, after which time they will be scrapped. Your artwork files will be held on computer storage devices until your order is delivered, after which time they will be scrapped
12. It is a condition of sale that all copyright matters relating to goods supplied by ICC Duplication are strictly adhered to, and that the customer has obtained the consent of the owners or all rights (including musical, artistic, and intellectual and other copyright and performance rights). All orders replicated through our partnership agreement with SONY DADC are only accepted if accompanied by a completed IPR form for each title. All orders containing music works must be accompanied by a valid MCPS license, or notification of application for license.
13. The customer warrants that no Masters, Labels or Packaging Designs or Artwork or Text or other material supplied contains any obscene, libelous, blasphemous, sexually explicit or other offensive or illegal material which will render ICC Duplication liable for any criminal or civil proceedings or that would contravene ICC Duplication’s directive as a company and the customer hereby agrees to indemnify ICC Duplication for any damages, loss and all costs and financial penalties payable by ICC Duplication arising from or in connection with the breach of this warranty.
14. ICC Duplication will not duplicate content that endorses or promotes non-Christian religions or sects, or New Age or other faith systems that are contrary to accepted Evangelical Biblical teaching as set out in the Statement of Faith of the Evangelical Alliance of Great Britain and the customer hereby agrees to indemnify ICC Duplication for any loss, damages, penalties and costs arising from any breach of this condition.
15. If any part of these terms and conditions is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of these conditions will not be affected.
16. You acknowledge and agree to be bound by the terms of our privacy policy. (Our Privacy Policy is available on our website:- www.iccduplication.co.uk)
17. Except for our affiliates, directors, employees or representatives, a person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement but this does not affect any right or remedy of a third party that exists or is available apart from that Act.
18. The contract between us shall be governed by and interpreted in accordance with English law and the English courts have jurisdiction to resolve any disputes between us.
19. These terms and conditions, together with our current prices, website prices, contact details and privacy policy, set out the whole of our agreement relating to the supply of the goods to you by us. Nothing said by any sales person on our behalf should be understood as a variation of these terms and conditions or as an authorised representation about the nature or quality of any goods offered for sale by us. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.
